Terms of Service

These terms govern access to ActionsLedger during our launch phase. They are a plain-language draft prepared for launch and are not legal advice — have counsel review and adapt the bracketed placeholders before you rely on them.

1Who these terms are between

The service is operated by [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS], company number [COMPANY NUMBER] ("ActionsLedger", "we"). By creating an account, joining the onboarding queue, or using the service, you agree to these terms on behalf of yourself and the organisation you represent.

2What the service does

ActionsLedger is a change review layer between an AI agent and a system of record. Agents propose changes; a human approves or rejects them; a separate merge engine applies approved changes and writes an append-only, hash-chained audit entry.

You remain responsible for the changes you approve. Approval is an instruction to write to your system of record, and we execute it as given.

3Accounts and access

You must provide accurate registration details, keep credentials confidential, and ensure that only authorised people can approve changes. You are responsible for activity under your workspace, including that of your users, agents and integrations. Accounts are for organisations, not for individuals under [MINIMUM AGE] years old.

4Acceptable use

You agree not to:

  • use the service to make changes you are not authorised to make;
  • connect credentials broader in scope than the integration requires;
  • attempt to bypass approval policy, audit logging, rate limits or tenant isolation;
  • reverse engineer, resell or benchmark the service without written consent;
  • upload unlawful content or content you have no right to process.

5Your data and credentials

You own your customer data. We process it only to provide the service, as described in the Privacy Policy and in the data processing addendum available at [DPA LINK]. Integration credentials are scoped, encrypted at rest and held by the merge engine — never issued to a model.

6Plans, fees and trials

Paid plans are billed [BILLING PERIOD] in advance via [PAYMENT PROVIDER]. Fees exclude taxes. Free and launch-phase plans may include usage limits and can change with [NOTICE PERIOD] notice. Cancellations take effect at the end of the current period; we do not provide pro-rata refunds unless required by law.

7Launch-phase availability

During the launch phase the service is provided as-is, without a service level commitment. Features may change, and scheduled maintenance may interrupt access. Once generally available, uptime commitments will be described at [SLA LINK].

8Third-party systems

The service connects to systems you choose, such as your CRM or ERP. We are not responsible for their availability, pricing or behaviour, and their own terms continue to apply to your use of them.

9Intellectual property

We retain all rights in the service, including its software, policy engine and documentation. You receive a non-exclusive, non-transferable right to use it during your subscription. Feedback you send us may be used to improve the product without obligation.

10Warranties and liability

Except as expressly stated, we disclaim implied warranties to the extent permitted by law. Neither party is liable for indirect or consequential loss. Our total liability is capped at the fees you paid in the [LIABILITY WINDOW] months before the claim. Nothing here limits liability that cannot lawfully be limited.

11Suspension and termination

You may stop using the service at any time. We may suspend or terminate access for material breach, non-payment, or security risk, with notice where practical. On termination you can export your audit trail for [EXPORT WINDOW] days; after that, data is deleted per our retention schedule.

12Changes to these terms

We will post material changes on this page and notify account owners at least [CHANGE NOTICE] before they take effect. Continued use after that date means you accept the updated terms.

13Governing law and contact
